This Third-Party Business Associate Affiliate Agreement ("Agreement") is made and entered into by and between the undersigned affiliate and JumpstartRx ("Company"). By signing below, you agree to the following terms and conditions:

Affiliate Tier Structure
As a Tiered Affiliate, you will receive a unique affiliate link or QR code that can be distributed to businesses or individuals ("Sub-Affiliates"). You acknowledge that each additional tier of affiliates ("Sub-Affiliates") will also be bound by this Agreement, and you will be responsible for ensuring that all Sub-Affiliates sign this Agreement before proceeding.
Responsibilities and Compliance
As an affiliate, you agree to:
- Comply with all applicable laws and regulations regarding marketing and the promotion of the Company's services.
- Ensure that all Sub-Affiliates under your tier also comply with the terms of this Agreement.
- Communicate clearly and accurately the terms, conditions, and products offered by JumpstartRx to any Sub-Affiliates.
- Manage the conduct and activities of your Sub-Affiliates to ensure they adhere to all agreed-upon guidelines.
Payment & Commission Structure
- All affiliates, including Sub-Affiliates, will be eligible to receive commissions based on sales generated through their referral links, as outlined in the JumpstartRx Affiliate Program guidelines.
- You will be responsible for ensuring that your Sub-Affiliates are aware of the commission structure and payments.
Indemnification
- You agree to indemnify and hold harmless JumpstartRx, its affiliates, employees, agents, and representatives from any and all claims, damages, or liabilities arising from the actions or omissions of you or any Sub-Affiliate.
Termination
- JumpstartRx reserves the right to terminate this Agreement at any time for breach of terms or failure to comply with the established guidelines.
- Upon termination, all Sub-Affiliates under your tier will also have their affiliations terminated.
Consent for Communications
By signing this Agreement, you consent to receive SMS notifications, alerts, and occasional marketing communications from JumpstartRx. You also consent to sharing this agreement with any Sub-Affiliates and ensuring they sign it.
